Please read these Terms and Conditions (“Terms”) carefully before using the services provided by TechCare24 LLC (“TechCare24”, “we”, “us”, or “our”). By accessing or using our services, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing our website or engaging our services, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them along with our Privacy Policy.
2. Services Provided
TechCare24 provides managed IT services including but not limited to: Microsoft 365 management, cloud migration, remote IT management, and backup and disaster recovery services. The specific scope of services will be outlined in a separate service agreement or statement of work between TechCare24 and the client.
3. Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information necessary for service delivery
- Ensuring TechCare24 has the necessary access and permissions to perform services
- Maintaining appropriate licenses for any third-party software used in conjunction with our services
- Timely payment of all fees as agreed
- Notifying TechCare24 promptly of any changes in their IT environment that may affect service delivery
4. Payment Terms
Unless otherwise specified in a service agreement:
- Invoices are due within 30 days of the invoice date
- Late payments may incur interest at 1.5% per month or the maximum allowed by law
- TechCare24 reserves the right to suspend services for accounts overdue by more than 30 days
- All fees are non-refundable unless otherwise stated in our Refund Policy
5. Intellectual Property
All content on the TechCare24 website, including text, graphics, logos, and software, is the property of TechCare24 LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.
6. Limitation of Liability
To the maximum extent permitted by law, TechCare24 shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from or related to your use of our services. Our total liability shall not exceed the amounts paid by you to TechCare24 in the three months preceding the claim.
7. Disclaimer of Warranties
Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. TechCare24 does not warrant that services will be uninterrupted, error-free, or free of harmful components.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the service relationship. This obligation survives the termination of any service agreement.
9. Termination
Either party may terminate services with 30 days’ written notice. TechCare24 may terminate services immediately in cases of non-payment, breach of these Terms, or conduct that threatens the security of our systems or other clients. Upon termination, all outstanding fees become immediately due.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to conflict of law provisions. Any disputes shall be resolved in the courts of Delaware.
11. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services after changes constitutes acceptance of the updated Terms. We recommend reviewing these Terms periodically.
